    Title: 軟體公司策略聯盟之研究─以外商在台子公司為例

    Abstract: 本論文研究重點在於軟體公司策略聯盟運作之探討,除了研究軟體公司進行策略聯盟動機;如何制定聯盟夥伴的選擇標準,以及聯盟類型的決定之外,最重要是探討聯盟管理的進行及其績效。聯盟係由不同的企業個體所組成,其目的在於,擁有共同目標、共同風險或報酬以及相當程度的協調與整合的協同關係,比起一個企業集團或是企業合併,強調共同決策,和講究完全掌握、充分整合的企業購併有所不同。因此,若要研究策略聯盟管理此一議題,也要針對聯盟中的各個成員來做研究,才能反應真正問題的所在。

    因此,在本研究中,除了針對個案軟體公司來進行深入研究其策略聯盟運作之外,也針對其不同的策略聯盟型態來做了解。讓聯盟管理問題,能夠在聯盟中因為成員所處的市場不同、經營條件不同的情況之下,讓聯盟管理問題能夠全部浮現出來,如此一來,經過比對分析所得之結論,才能對於策略聯盟做出最有效的管理,以利策略聯盟管理研究的完整性與正確性。

    本研究希望藉由對於個案公司執行策略聯盟各項議題之研究,進一步提出相關結論,作為本國軟體公司經營之參考。以下是本研究的主要結論:

    (1) 企業發展策略聯盟,必須建立完整而且成熟的聯盟管理機制。
    (2) 在參與策略聯盟之前要先準做好準備功課,就是確認公司本身的 關鍵能力和市場優勢。
    (3) 在策略聯盟進行過程中,雙方組織高層必須能夠親自參與聯盟運作管理。
    (4) 策略聯盟雙方在合作之前,就要訂定完整的聯盟合約。可是,一旦進入聯盟合作階段,雙方就要保持開放的心態,配合聯盟過程發生問題來做調整。
    (5) 聯盟過程中必須建立信任的合作關係,這將會對聯盟的績效有所影響。
    (6) 在聯盟過程中,聯盟夥伴間必須加強定期與非定期的溝通檢討,這些活動會有效增進聯盟的效率。
    (7) 策略聯盟過程中主導的一方,如果能夠找到對其依賴程度較高的夥伴。聯盟活動會比較容易管理,同時聯盟績效也會比較好。
