Abstract:	第一章導論，說明研究方法、選樣方法、分析方法，第二章有關內部控制理論與研究、說明內部控制望思義、健全內部控制之原則，第三章、第四章、第五章、第六章，似實際調查資料逐項比較中、美廠商之現金、有價證券、採購存貨、固定資產、收入、應付款、薪資、內部稽核等內部控制之區別及優劣比較，第十章結論及建議，除將三、四、五、六章之分項比較做綜合整理比較外，並提出中、美廠商內部控制應行改革之建議。
