Title:	我國上市公司董監事改選機制與其經營績效之關聯性研究

Abstract:	在專業化經營及規模不斷擴大下，造成所有權與經營權的逐漸分離。由於經營者受到自利動機的驅使，使得企業經營偏離股東財富極大化方向，如此一來便衍生出許多代理問題，而解決代理問題的各種監控措施也應運而生。在外部監控措施即控制權市場機制方面，其主要的機能有三：即併吞案、股票購買要約和委託書收購。無論是採用何種機能，其最終的目的就是希望透過改選的方式取得董事席次，進而入主董事會，以提高公司的經營績效。而在內部監控措施方面，即董事會的成立。
