Title:	證券市場內線交易之研究－美國法為中心之法律與經濟的分析

Abstract:	本文係以美國法為中心，在研究方法上採取較為科學客觀的經濟分析方法，其中尤其倚重「產權經濟學」（Property Rights Economics ）及「財務經濟學」（Economics of Finance）的觀點，以探求內線交易現象所表現的經濟含義、現行法律規範效果、以及對之可能採取之適當的法律對策。換言之，本文嘗試從經濟分析的觀點，首先探討內線交易發生的背景原因、其背後的經濟因素，以及其對各類投資人、證券市場、乃至於整體經濟的可能損益影響；其次再根據內線消息性質上是一種有價無體財產權的觀點，以「成本效益分析」（Costs and Benefits Analysis ）方法，對於各層面關系人的利與害仔細加以剖析，試圖得出較為可行且合乎社會實質正義的政策結論，並就現行相關法規與對照，最後導出本文的建議。
