    摘要: 為因應我國加入世界貿易組織（WTO）後面臨國外金融集團之競爭壓力， 並提高金融經濟規模、發揮金融經營之綜合效能，「金融控股公司法」於民國九 十年六月二十七日經立法通過，並於同年十一月一日施行。 金控法實施後，截至目前，台灣已有十四家金控公司出現，這部新的金控 法如何適用於這些剛轉型成立之龐大金融集團，引發筆者研究的動機。由於金 控法實施成效，關係到我國金融業之穩定與經濟發展（因為金融為葉，產業為 根），因此有必要對其所衍生之相關問題在法制方面，做一徹底研究。本計畫預 計對下列問題加以探討： （一）金控公司之風險管理架構應該如何建立。 （二）共同行銷之規範，如何與相關法律配合。 （三）如何強化金融控股公司之經營責任。 （四）金控公司對於金融監理之影響與挑戰，在法制方面上應如何加以應對？ 合併監理如何進一步加以完善，以提昇監理效能？ （五）金融控股公司之子公司持有母公司之股份是否享有股東之權益（如，表 決權？盈餘分派請求權？）。
    Financial Holding Company Act and Financial Supervision This study aims to focus on the following topics relating to the Financial Holding Companies（」FTC」）： （1） How to structure the risk management of a FTC？ （2） How to regulate the cross selling？ （3） How to streamline the responsibilities of the FTC？ （4） How to respond to the challenge made by the FTC in terms of financial supervision？ How to perfect the consolidated supervision？ （5） Can a subsidiary under a FTC enjoy the rights of shareholders as the subsidiary holds shares in the FTC？
