| Abstract: | 在全球地緣政治緊張加劇、科技與經濟安全日益受到關注的情勢下，外商投資對東道國國家安全可能產生的影響，引起各國高度重視。中國自2011年起逐步建立外商投資國家安全審查制度，並於2020年《外商投資法》施行後，透過《外商投資安全審查辦法》進一步細化制度架構與運作流程。本文以中國制度為研究核心，並以美國自2018年頒布《外國投資風險審查現代化法案》（FIRRMA）後所建立之制度為比較對象，分析中國現行制度在審查標準、範圍界定、組織架構、資訊揭露與司法救濟等層面所存在的法制模糊與規範欠缺，進而對外資風險評估與法制透明度造成不利影響。
為回應上述問題，本文參照美國法制經驗及中國2015年發布之《外國投資法（草案徵求意見稿）》內容，提出下列具體改革建議：第一，增列審查參考因素，並具體明確「重大」、「重要」等術語所涵蓋之行業範疇；第二，釐清審查機關權責分工，建議仿效美國CFIUS制度，明文化參與機關及其職掌，並以商務部作為主責單位，以提升行政效率並減少審查標準不一致情形；第三，建立外部監督與資訊揭露機制，例如採行年度報告制度，並明確揭示監督主體與職權，強化制度正當性與問責基礎；第四，設計程序性救濟機制，建議修正《外商投資法》第35條之終局性規定，至少應賦予投資者針對程序瑕疵提起司法救濟之權利，以保障其正當法律程序；第五，提升制度法制位階，將目前僅屬行政部門規章的《安審辦法》上升至法律層級，以符合法律保留原則與中國《行政許可法》之授權規定，並確保制度之穩定性與可預測性。
另就我國現行制度觀之，目前對外資與陸資分別適用《外國人投資條例》及《大陸地區人民來臺投資許可辦法》，形成形式區分下之雙軌審查架構。本文建議我國應檢討該雙軌制之必要性，並依個案是否涉及國家安全風險進行統一審查。其次，應於法規中增列具體審查考量因素，並輔以主管機關公告之敏感行業清單作為輔助判準，以提升審查透明度與一致性。最後，可借鏡我國《公平交易法》第13條及第16條之制度設計，未來可考慮於審查法規中增訂明文，賦予審查機關作成「附條件或附期限之許可處分」，強化制度調控彈性與應變能力。
In the context of escalating global geopolitical tensions and increasing attention to technology and economic security, the potential impact of foreign investment on the host country's national security has drawn significant international concern. Since 2011, China has gradually established a national security review mechanism for foreign investment, and with the implementation of the Foreign Investment Law in 2020, the Measures for the Security Review of Foreign Investment further refined the institutional framework and procedural operations. This paper focuses on China's security review regime and adopts the United States' system—established following the enactment of the Foreign Investment Risk Review Modernization Act (FIRRMA) in 2018—as a comparative benchmark. The study finds that China’s current regime exhibits legal ambiguities and regulatory gaps regarding review standards, scope, institutional structure, transparency, and avenues for judicial relief, which in turn impairs the predictability of regulatory outcomes and foreign investors’ ability to assess legal risks.
To address these concerns, the paper proposes several reforms based on U.S. practices and China’s 2015 Draft Foreign Investment Law for Public Comment, including: (1) enumerating specific review factors and clarifying vague terms such as “significant” or “important” sectors; (2) delineating agency roles and responsibilities by designating the Ministry of Commerce as the lead agency, and institutionalizing the participation of relevant departments to enhance consistency and administrative efficiency; (3) introducing external oversight and transparency measures, such as an annual report system and specification of oversight authorities; (4) establishing procedural remedies to allow investors to challenge procedural defects, even if substantive review remains exempt from judicial scrutiny, thereby safeguarding due process; and (5) elevating the legal hierarchy of the security review system from ministerial rules to administrative regulations or legislation to comply with the “principle of legal reservation” under the Administrative Licensing Law and ensure legal stability.
As for Taiwan, although not the primary focus of this study, the current dual-track regime—separately applying the Statute for Investment by Foreign Nationals and the Regulations Governing Investment in Taiwan by People of the Mainland Area—has become increasingly disconnected from the reality of modern investment structures and control arrangements. The paper recommends transitioning to a unified review framework based on national security risks, introducing review factors and sectoral sensitivity lists, and incorporating flexible regulatory tools such as conditional or time-limited approvals, drawing reference from Articles 13 and 16 of the Fair Trade Act. These proposals aim to enhance regulatory consistency, flexibility, and responsiveness. |
