    Abstract: 由於現行公司法未提供有效之利害衝突的資訊揭露與淨化機制，因而董事或控制股東可輕易地透過各種交易型態侵害公司或少數股東權益。且現行法對利害衝突的認定傾向「形式認定」而非「實質認定」，雖然此規範模式優點在於使實務操作較具體明確，但顯然也易有漏洞產生，致使少數股東權益有被侵害之疑慮，就此現行法實有必要重新檢討與調整。而全面完整且綜合性的分析、規劃較能維持規範邏輯之一致性。以往公司法數度修正對此僅「零星式」做點的改善，未考量配套措施與執行可行性致使效果有限，也造成規範邏輯彼此矛盾。本計畫即期望建構一套能顧及股東權益、效率追求且具可操作性之利害衝突淨化規範。
