    Abstract: 公平法作為維護市場秩序的根本大法,適用於所有產業和經濟行為。也因此條文規定的抽象性,乃是公平法作為市場秩序的根本大法必然伴隨的現象。這樣的問題又特別存在於作為概括條款的公平法第25條當中。以「欺罔」和「顯失公平」作為規範內容的公平法第25條,一方面賦予競爭法主管機關一項有利的執法工具,打擊不當行為。但另一方面,主管機關也會因為規範的曖昧不明,疲於將執法資源分散於一些邊際案例,使更嚴重的案件無法獲得足夠關注。
    本研究中,將以涉及公平法第25條之行政法院判決作為研究對象,分析其中具有重要性之案件,釐清其中所體現之實務與理論上意義。並在必要範圍內與公平會之決定進行比較,以期能使本研究案之成果得以展現。本研究之主要目標有二:(1)使公平法第25條之規範架構得以更為明確;(2)針對較具有重要性之行為類型,能釐清其在適用時必須滿足的要件。以便未來執法機關在處理個案時,能有更明確的方向指引。
    The Fair Trade Act is a set of fundamental principles that maintain the market order and apply to all industrial and economic activities alike. Owing to this nature, ambiguities are inevitably prevalent in its provisions. This problem is particularly prominent in Article 25 of the Act, which serves as a general clause that regulates “deceptive and obviously unfair conducts.” The Article endows competition authorities with a useful instrument for enforcing the law and curbing illegal misconduct. Nevertheless, due to such ambiguities in the regulations, the authorities are often preoccupied with distributing law enforcement resources to certain marginal cases and fail to give the more severe cases their due attention.

    This study will focus on administrative court judgments pertaining to Article 25 of the Fair Trade Act, analyzing the representative cases among the subjects and elucidating the practical and theoretical implications attached to these precedent cases. Comparisons, wherever necessary, will be made against the decisions made by the Fair Trade Commission to illustrate the research outcomes. There are two main objectives: (1) to spell out the legal structure of Article 25 of the Fair Trade Act; and (2) to clarify the prerequisites that must be satisfied for the application of the Article concerning the more substantial types of conduct. In doing so, this study aims to provide law enforcement agencies with more well-defined guidelines for handling cases in the future.
