Title:	過半數之董事自行召集董事會─評最高法院113年度台上字第1377號及其歷審判決

Abstract:	依公司法第203條之1，股份有限公司之董事會以董事長召集為原則，但過半數之董事得以書面記明提議事項及理由，請求董事長召集董事會，董事長受請求後十五日內不為召開時，過半數之董事例外取得董事會召集權。但如何情事能構成「董事長不為召開」似無明確標準。近期最高法院見解有認為，如董事會出席不足額時實質上即無從進行討論，不具會議之基本形式要件，董事長應延期召開，重新進行召集程序，審議原預定討論之議案，否則與董事長不為召開董事會情形無異。本文認為「董事長不為召開」涉及複雜的事實認定，在董事長、過半數之董事認知分歧時，極易產生爭議。就立法論而言，學說有提出過半數之董事可召集董事會之法制建議，可避免董事會召集權人之認定困難，也符合董事會過半數決議之會議運作，未來修正公司法時應可參考。
