Abstract: | 在企業成長的過程中,資金的籌措與運用至關重要,穩定的資金是企業實現永續經營的核心要素之一。當企業面臨專案型融資、資本支出或中長期資金需求時,除了依賴資本市場籌措資金外,聯合貸款成為一種有效的資金籌措方式,能夠幫助企業快速獲得所需資金。
對銀行而言,授信業務是其核心收益來源之一,但由於臺灣金融市場競爭激烈,銀行放款利差有限,而呆帳損失對銀行盈餘有著顯著影響。因此,銀行對授信品質和貸後管理均進行嚴格控管,以確保風險在可控範圍內。然而,即使風險管理措施再嚴密,也難以完全避免逾期放款產生,更難以防範借款公司經營者的道德風險,經營者的誠信成為授信過程中最難預測和控制的因素之一。
本研究將聚焦臺灣地區的聯合貸款市場,首先說明聯合貸款的定義及籌組過程,其次整理國內市場的現況,並蒐集近年國內產業公司聯貸案例進行探討,深入分析相關聯貸案的授信條件,探索不同公司在籌組聯貸案過程中的共通點與差異性。通過這些分析,了解銀行在聯貸案中的考量因素及其可能存在的不足之處,以期為未來銀行在聯貸案籌組中的決策提供參考依據。 In the process of corporate growth, the raising and utilization of capital are crucial, as stable funding is one of the core elements for sustainable business operations. When companies face project financing, capital expenditures, or long-term funding needs, in addition to relying on capital markets for funding, syndicated loans become an effective way to quickly secure the necessary capital.
For banks, lending is one of their core revenue sources. However, due to the intense competition in Taiwan's financial market, the lending interest margin is limited. As a result, bad debt losses have a significant impact on bank earnings. In order to ensure comprehensive risk management, banks impose strict controls on credit quality and post-lending management. Despite stringent risk management measures, it is challenging to entirely avoid overdue loans, and even more difficult to prevent the moral hazards posed by borrowers' executives. The integrity of corporate management team remains one of the most unpredictable and uncontrollable factors in the credit process.
This study focuses on Taiwan's syndicated loan market. It begins by defining syndicated loans and explaining the structuring process, followed by an overview of the current domestic market. Additionally, case studies of syndicated loans within Taiwan’s industrial sector in recent years will be examined. The study delves into the credit conditions associated with these syndicated loans, exploring commonalities and differences among various companies in the syndication process. Through these analyses, we aim to understand the considerations of banks in syndicated loan transactions and identify potential shortcomings, with the goal of providing reference for future decision-making in the organization of syndicated loans by banks. |
