| Abstract: | 外國直接投資(foreign direct investment)為全球經濟發展的主要因素之一，東道國因為外國資金的流入，不但能促進其經濟的發展，更有機會獲得國外先進技術而提升其國家的競爭力。過往在國際分工、利用個別市場創造最大利益的思維下，開發中國家因其人力與地域的優勢，從中獲得經濟成長的紅利。惟，近年國際間的保護主義與民族主義風氣盛行，各大經濟體意識到國內永續發展的重要，而將產業鏈移回母國，對外商投資也加強審查與監管的力道。
國家安全審查乃國際間對於外商投資監管的主要模式，各國以國家安全之名對於外國資金的投資行保護主義之實，舉凡涉及關鍵技術、資源與材料等外國企業之投資、併購案，皆可為審查之範圍。東道國之權責機關雖依各國所頒布之相關法令審查，然而政治因素卻無法完全與之脫鉤。
2016年美國川普政府主政之後，有鑑於美國對於中國龐大的貿易逆差以及對於中國在智慧財產權保護的疑慮，開啟了中美貿易戰爭，在此一情勢的推波助瀾下，《中華人民共和國外商投資法》以極為迅速的方式立法，並於2020年1月1日開始實施，過往外商進入中國所仰賴的「外資三法」也隨著新法的實施走進歷史。《外商投資法》正是在習近平具中國特色社會主義思想綱領下頒布的一部為推動中國對外開放的基礎性法律。其包括總則、投資促進、投資保護、投資管理、法律責任、附則等6章，共42條，作為整個外商投資領域的基本法。
港、澳、台對於中國之投資占中國外商投資金額的一半以上，若港、澳、台要一體適用外商投資新法，主體是否符合法律規範不免產生疑義。尤其是台灣與中國之間微妙的政經關係，更使《臺灣同胞投資保護法》與《外商投資法》之間產生競合。另一方面，台灣對於外商來台投資相應的法律為《外國人投資條例》與《華僑回國投資條例》，然而，有鑑於中國對於我國在國家安全上的威脅，不同於其他外商來台投資採行負面清單模式，陸資對台灣的投資則採行正面表列之審查模式，這對於中國欲來台投資的投資者來說，實屬不利之情事，也間接阻礙台灣藉由大陸資金活絡其本身經濟投資環境的機會，但是在現今中國與台灣政治現實下，也是不得不然的結果。
外商投資採「負面清單」的投資准入模式已是世界各國對於外國直接投資所通常採取之管理規範，《外商投資法》也是採行相同之作法。然而，此一看是普及的投資管理規範，對於中國向來對於外國直接投資採行「逐案審批」制度而言，無非是一重大轉變。負面清單所包含的項目愈少，代表該國對於外商投資愈開放，中國所採行的負面清單從設立之初近200項逐年縮減至最新實行2021年版本的31項，不難想像中國不但努力擴大其對外開放程度，更積極吸引外商進入中國投資。
Foreign direct investment (FDI) is one of the main factors of global economic growth. Because of the FDI inward flow, the host country can not only drive its economic growth but also leverage the advanced technology to strengthen its national competitiveness. In the past, due to international division of labor and leveraging individual markets to maximize the benefits, developing countries gained economic growth because of their labor cost and geographical advantages. However, protectionism and nationalism have prevailed recently. Major economies have realized the importance of domestic sustainable development and moreover, moved their supply chains back to their home countries. Therefore, they have also increased the supervision of foreign direct investment.
National security review is the main methodology of international supervision of foreign direct investment. Countries practice protectionism for foreign direct investment, such as investment of foreign enterprises and M&As involving in key technologies, resources, and materials, under the name of national security review. Although the host country reviews the foreign direct investment accordance with the relevant laws and regulations, the political factors are always considered in those decisions.
Trump was elected as United States President in 2016. Due to huge trade deficit from China and doubting about China`s intellectual property protection, the China–United States trade war was launched. Under this pressure, the Foreign Investment Law was enacted in a rapid way and came into effect on January 1, 2020. The Foreign Investment Law is a basic law promulgated under the guidance of Xi Jinping Thought on Socialism with Chinese Characteristics for a New Era to promote China`s reform and opening. It includes 6 chapters, including General Provisions, Investment Promotion, Investment Protection, Investment Management, Legal Liability, and Supplementary Provisions, with a total of 42 articles, which serve as the basic law in the entire field of foreign direct investment.
Hong Kong, Macao, and Taiwan’s investment are more than half of China`s foreign investment. If Hong Kong, Macao, and Taiwan want to apply the new foreign investment law as a whole, it is inevitable that doubts will arise whether those entities are complied with legal norms. In particular, the uncertain political and economic relationship between Taiwan and China has led to a competitive relationship between the Taiwan Compatriots Investment Protection Law and the Foreign Investment Law. On the other hand, Taiwan`s corresponding laws for foreign direct investment are Statute for Investment by Foreign Nationals and Statute For Investment By Overseas Chinese; however, due to China`s threat on national security, unlike other foreign investors who are adapted the negative list for foreign direct investment in Taiwan, the investment from China is adapted the positive list review, which is really unfavorable for Chinese investors and for Taiwan to grow its economy by leveraging China’s funds. Giving the political realities between China and Taiwan, it is an inevitable result.
The negative list is a common norm for foreign direct investment and Foreign Investment Law also implements the same practice. However, negative list is the major change from China`s traditional case-by-case approval system for foreign direct investment. The fewer projects included in the negative list, the more open the country is for foreign direct investment. The number of items in the negative list adopted by China has been reduced from nearly 200 items at the beginning to 31 items in the latest 2021 version. It shows that China opens its market up and attracting foreign investment into China aggressively. |
