    Title: 企業整併後資訊系統管理模式之研究 –以A公司與B公司INBG集團整併案為例

    Abstract: 由於全球化與國際化的趨勢,企業為了要快速擴張及成長,常常會以併購來達成組織目的及快速打入供應鏈的方式,而在此過程中,不論對外的營運發展或是內部的資訊系統整合都會受到很大的影響。對於資訊部門來說,要如何能夠在這樣的情勢下妥善利用現有資源來面對這樣的挑戰,都是資訊部門所要思考的一項重要課題。
    本研究係以A公司於2022年併構B公司INBG事業群為實際的案例,佐以Leavitt(1965)的鑽石模型(Diamond Model),用以解釋在此併購案中及之後,關於IT管理所受到的影響。
    分析是以林東清(2013)的鑽石模型展開與張文玲(2007)的理論基礎,細部分析任務(Task)、技術(Technology)、組織結構(Structure)及人員(Agent)所受到的挑戰與整併之後的影響。
    藉由實際針對兩家公司之CIO訪談及文獻資料探討,可以得知A公司為何想要進行此整併案,以及在此整併案之後的各項指標都受到了怎麼樣的影響,就是本研究所要探討的主題。
    本研究結果發現,鑽石模型所主張的任務、人員、技術與組織構面確實具有交互影響的連鎖效應之關係,資訊部門在面對整併案中,須同時考量鑽石模型四大構面,才能確保企業整併成功導入的成效。最後,本研究建議企業資訊部門宜思考在有限的資源與條件下,有效運用此契機來做相對應的資訊部門及組織再造,方能事半功倍,增加公司整體的競爭優勢。
    Due to the trend of globalization and internationalization, in order to expand and grow rapidly, enterprises often use mergers and acquisitions to achieve organizational goals and quickly enter the supply chain, and in this process, both external operation development and internal information system integration will be greatly affected.
    For the information department, how to make good use of the existing resources to face such challenges under such a situation is an important topic for the information department.
    This study uses the merger of Company A into Company B`s INBG business group in 2022 as a practical case, together with Leavitt`s (1965) Diamond Model, to explain the impact on IT management during and after this merger.
    The analysis is also based on the diamond model of Lin Dongqing (2022) and the theoretical basis of Zhang Wenling (2007), detailing the challenges and impacts of tasks, technology, organization structure and agent.
    Through the actual CIO interviews and literature discussions of the two companies, we can understand why Company A wants to carry out this consolidation and how the indicators after this consolidation have been affected, which is the theme of this study.
    The results of this study show that the tasks, personnel, technology and organizational aspects advocated by the diamond model do have a chain effect of interaction, and the information department must consider the four major aspects of the diamond model at the same time in the face of consolidation to ensure the success of enterprise integration.
    Finally, this study suggests that enterprise information departments should consider effectively using this opportunity to re-engineer the corresponding information departments and organizations under limited resources and conditions, so as to achieve twice the results with half the effort and increase the competitive advantage of the company as a whole.
