    Abstract: 本研究以「教學用個案」方式撰寫論文,正文內容主要包括個案本文與教學指引。
    此個案之討論問題一共有四題,分別是:
    一、購併標的物的選擇與國巨公司發展策略之佈局為何?

    二、哪些因素影響到被併方併後品牌繼續存在?或是被併入國巨公司而消滅?

    三、若被併方需被併入國巨公司而消減,併後整合要如何規劃與進行?所面臨的挑戰為何?

    四、資本額約140億的國巨,應不應該花180億併購飛利浦被動元件部門?併購案發生在2000年,請以當時的時空環境,評估買與不買對公司發展的利弊得失。
    This thesis is a taught-based case based on a practical case. The main content of the thesis includes case content and teaching note.

    The case includes the following topics:

    1.Selections of the targeted firms for the M&A strategy.

    2.Factors that affect the merged company to remain its brand name or create a new brand.

    3.How does YAGEO plan and proceed the integration after the M&A? What are the challenges that YAGEO might encounter?

    4.Should YAGEO Corporation with capital value of 14 billion NTD merge Philips Electronics? At the year of 2000, Philips Electronics asked 18 billion NTD for the acquisition. This case study will analyze pros and cons of this acquisition based on the situation at the year of 2000.
