    Abstract: 就如同一般消費者與企業一樣,公法人例如城市、鄉鎮與其他公共機關等,都有可能面臨財務危機,而影響其公共服務之能力。然而也因為公法人負有之公共機能,影響層面廣大,其債務之整理程序實不宜同於一般自然人或私法人,而應以公法人持續運作公共事業為前提,給予公法人債務清理之法律依據。本文以美國加州橘郡政府聲請破產保護為開端,將美國聯邦破產法第九章關於地方自治團體債務調整的規範設計作一整體討論與分析,進而探討我國破產法修正草案中新增之第四章公法人債務清理程序,並提出本文對公法人債務清理此一破產法學中較為特殊議題之相關意見。本文除了說明美國聯邦破產法第九章地方自治團體債務調整與我國破產法修正草案第四章公法人債務清理程序之立法目的及主要內容外,也特別針對兩者作相互探討分析。本文目的是希冀透過討論當今位居於破產法學領導潮流之美國聯邦破產法典第九章的相關設計,提供與我國破產法修正草案第四章不同的觀點角度和更躍進的思考方向,使我國將來公法人債務清理程序之突破性發展能發揮其最大功效。
    Public agencies, like general consumers and private enterprises, are vulnerable to financials risks, which could affect their ability to fulfill their missions to serve the public. Therefore, public agencies should not be treated as individuals or private sector agencies when it comes to financial reconstructuring or bankruptcy. In other words, the purpose of the financial reconstructuring of public agencies is to provide them with protection from their creditors as they continue their operations and develop plans to recover from their financial difficulties. By examining the famous Orange County bankruptcy case, this article first introduces and analyzes Chapter Nine, Adjustment of Debts of a Municipality, of the United States Bankruptcy Code. Then, Chapter Four, Debt Resolution of Public Agencies, of Taiwan’s latest Bankruptcy Law Amendment Draft is subjected to analysis. This article further compares Chapter Nine, Adjustment of Debts of a Municipality, of the United States Bankruptcy Code to Chapter Four, Debt Resolution of Public Agencies of Taiwan’s latest Bankruptcy Law Amendment Draft for details as needed. In its conclusion, this article suggests a comprehensive pattern for the future development of bankruptcy plan for public agencies in Taiwan.
