Abstract:	臺商會選擇具有成本優勢的地區作為投資標的。臺商赴中國大陸投資之金額從2001年2,784.15百萬美元至2006年已經增加至7,642.34百萬美元，此一現象表示臺商在中國大陸之布局有與時遽增之傾向。臺商在全球投資金額的比重仍然是以中國大陸為最高，而且有增加的趨勢，臺商的投資活動在中國的發展熱絡，也相對衍生出融資之需求，因此本文希望從臺資企業的角度出發，觀察臺商上市融資的機會與途徑。本文首先概述臺商融資策略與融資管道；其次，再從近期臺商上市所面對的中國大陸經濟環境之變化著手，來理解大環境之影響臺商上市之可能性；接著，再從融資順位理論的角度來分析中國上市公司融資之偏好，以期了解臺商上市融資途徑是否為佳；最後，檢視近期臺資企業上市之現況，以了解臺商在大陸上市之情勢。
