    Abstract: 法律認為,於契約中對所有必要之點,已達成協議,但契約常以某些情況為基礎,卻未在契約的內容中表達出來,這些情況可能是當事人認為是現存或未來必然發生或不發生的,這種情況,在德國法上被稱為行為基礎(die Geschäftsgrundlage)。由於我國民法第二二七條之二對於情事變更的規定,不若德國法完整,使情事變更之適用問題在我國工程承攬契約中,爭議甚多。本文的解析希望能對立法者與實務界有所幫助。
    Art.313/1 regulates: “If circumstances upon which a contract was based have materially changed after conclusion of the contract and if the parties would not have concluded the contract or would have done so upon different terms if they had foreseen that change, adaptation of the contract may be claimed in so far as, having regard to all the circumstances of the specific case, in particular the contractual or statutory allocation of risk, it cannot reasonably be expected that a party should continue to be bound by the contract in its unaltered form.” Art. 227 b of Taiwan’s Civil Law has the same regulation, but does not apply it. If material assumptions that have become the basis of the contract subsequently turn out to be incorrect, they are treated in the same way as a change in circumstances. The flaw of the regulation causes numerous problems in work contracts.
