    Abstract: 債法上的權利與義務,原則上只能以契約建立、變更或解除;單獨行為通常是不夠的。可是在工程承攬契約卻有所不同,為了要使工作之進行能把握時效,順利進行,當工作環境與預想不同時,必須給予定作人片面變更契約之權限。只不過此種片面變更契約權限,並非基於法律的規定,而是由於契約之約定。實務上最高法院也承認定作人片面變更契約之權限。本文從比較法角度觀察,說明此種片面變更權在範圍上應有所限制,並以我國發生的實際案例說明問題的解決方式。
    According to Art. 311, (1) of the German Civil Code: “Unless otherwise stipulated by statute, a contract between the parties is necessary in order to create an obligation by legal transaction or to alter the content of an obligation.” Though Taiwan’s Civil Law does not have a similar regulation, we still have to take the same attitude toward this issue. However, in a contract for work, we have to give the owner the right to issue Change Orders, i.e., the right to change the content of the contract without the consent of the contractor, when the working conditions are not the same as planned, in order to expedite the work. This right is based on contract terms, not on Civil Law. This article analyzes the issue of Change Orders from an international perspective and through cases having occurred in Taiwan; it elaborates the limit of Change Orders and the problem of Cardinal Changes. The author tries to find a solution to the cases which have occurred in Taiwan.
