Title:	董事會之臨時動議

Abstract:	公司法(以下逕列條號)第二四條關於董事會召集程序之規定,並未如第一七二條關於股東會召集程序規定,於第五項明定不得以臨時動議提出之事項。對於以臨時動議提出而作成之董事會決議,是否構成召集程序瑕疵,經濟部曾以一九八五年二月二八日(七四)商七八五號函釋「二、復查公司法第一七二條第四項(二一年修正前)規定,股東會改選董事、監事人之事項,應在召集事由中列舉,不得以臨時動議提出,惟於董事會選舉常務董事尚乏類似之規定。則股份有限公司補選常務董事於董事會中以臨時動議方式為之,尚無違法。」本函釋雖係針對補選常務董事議案,但應可推衍認為經濟部就董事會以臨時動議所提議案作成決議,係採並無程序瑕疵之見解。
