    Abstract: 股東會因出席股東所代表股份數不足定額時,該決議是否為公司法第一八九條,訴請法院撤銷之?雖有最高法院六十三年台上字第九六五號與六十七年台上字第二五六一號兩則民事判例,認為其因決議方法股東會因出席股東所代表股份數不足定額時,該決議之違法,自屬股東得依公司法第一八九條規定,訴請法院撤銷該決議,但容有爭議。在司法實務上,亦有不同的見解。本文試就最高法院九十一年度台上字第二一八三號民事判決的系爭所在,從實體法的法理基礎,檢討股東會出席不足法定人數之決議與現行立法例,並輔以程序法的觀點,分析違法決議之民事救濟途徑。
