    摘要: 中國公司制度的衍生與發展，一直與國有企業改革有著不可割捨的關係在，不瞭解這一背景，將無法深度掌握中國公司制度發展的內涵。公司組織形式是一種相對來講沒有意識型態色彩的概念，中國政府發現它可以被用於重新界定不同經濟參與者之間，包括各獨立的經濟主體和政府之間的廣泛關係。由於這種組織形式變化完全不同於過去僅在既有體制上對國有企業單一公有主體的改革，它套進了西方公司法律制度的體制作為規範依據，不同於過去妥協既有體制下的企業立法，使得這項立法本身也是一種具有高度劇變的繼受體制變遷。市場競爭，尤其是來自中國融入國際社會的競爭，並不會因為政府改革的「難」而有所改變；施行達十餘年的中國公司法，已經在2005年的修法中添上相較更為規範而具有可操作性的規定，例如放寬准入，鼓勵投資參與，並賦予更多的公司自治色彩，如何培養對於市場交易安全的認知與公司治理的認真對待的基本素養，是全體參與者的後續學分；但還未改變的是，法律背後舊有體制框架對於新法律適用的抗擷（尤其是上市公司的股權結構）；國有企業改革所涉及的公司組織運作所面臨的困境，都是作為一個外資角色的台商企業在投資中國之際所不可或缺的基本理解。
    The derivation and development of Chinese company system has always been closely related to the reformation of state-owned businesses. One cannot master the thoughtful development of Chinese company system without acknowledging this background. Company structure form is a relatively non-ideology concept and could be used to re-define boundaries among different economic participants, including the relationship between each individual economic subject and government. This changes of the structure form differs from the past reformation which only break new grounds on single public subject of state-owned business. It regulates based on the Western company law and is different from the past compromised business law. Therefore, the legislation itself is also a highly changing system. Market competition, especially the one from China into international society, would not change because of the "difficulties" from the government reformation. The Chinese Company Act, already in effective for over ten years, has been amended with more feasible rules, such as relaxing market access, encouraging investment and participation, allocating more self-governance. The following up course for all participants is how to foster the cognition to market transaction safety and treat corporate governance seriously. There are still some to-be changed, e.g., the resistant of new legal rules from the old system (especially the stock structure of listed companies). The difficult position the state-owned business reformation faces is also a necessary understanding that a Taiwanese business, as a foreign investment, must have when invest in China.
