Title:	日本「合同公司」制度之研究

Abstract:	日本有關公司規範之法律，原主要由三個法律構成，其一為商法第二篇公司篇（股份有限公司、無限公司及兩合公司），其二為有限公司法，其三為商法特例法（資本額五億日元以上或負債總額兩百億日元以上之「大公司」，及資本額一億日元以下之「小公司」）。但於2005 年6 月29 日統合上述法律規定而新訂「公司法」之獨立法典，計九百餘條。定於2006 年5 月施行。日本新公司法之重點之一為，在閉鎖型公司（closely-held corporations）法律規範部分，廢止有限公司制度，而將之轉化為閉鎖型股份有限公司。此外，並參考美國之LLC(Limited Liability Company) ，新設「合同公司」制度，其雖為公司型態，但內部關係實接近合夥，對外關係則股東得主張有限責任。此二者，可謂係日本公司法制具有革命性義之變革。我國公司法制，向來受日本法制影響頗深。對日本法制此次之重大變革，應有必要就其背景、考量因素、立法過程之法理辯論，予以研究分析。而以研究結果，做為我國公司法制興革考量時之參考。本計畫將先以「合同公司」制度部分，作為研究探討內容。
