    Abstract: 本計畫在探討債權人因債務不履行受有損害而請求賠償時,債權人應負如何義務以減輕損害之擴大。經參考美國法及統一私法過程中累積之成果的經驗,其要件與效果為:債權人於債務不履行後,在取得替代品係屬可能之情形,債權人應負進行替代交義務,其損害額亦因此而限定於契約價格與行合理替代交易時之價差;亦因此,債權人之強制履行的請求亦應受到限制。觀我國關於過失規定之第217條第1項之文義,其足提供確立該義務之根據。
    The purpose of this research is to demonstrate the following object: while damages caused by an obligator`s non-performance, in order to avoid or reduce the loss, what duty should the aggrieved party perform. As referring to the United States` UCC, CISG, UNIDROIT and PECL, it shows that the aggrieved party should reasonably make substitute transaction in the market which is possibly to get the same objects; and the remedy will be the difference between contract`s and the substitute transaction`s price. Because of this duty, an action for specific performance also should be restricted. Art.217 in Taiwan`s Civil Law afford sufficient basis for reaching the same conclusion.
