Title:	被授權人之專利權無效主張與授權金給付－以最高法院104年度台上字第2016號民事判決為中心

Abstract:	被授權人是否得以直接主張系爭專利無效，進而以權利瑕疵擔保為由解除契約？本文採取肯定之立場。另外，若系爭授權契約載有「專利權效力不得挑戰條款」，限制被授權人對於系爭專利相關權利主張無效之可能性，其效力為何？本文認為以專利權效力攸關專利法鼓勵技術創新之立法價值，為確保公共利益，契約自由之價值與利益，應相應妥協讓步，是故該條款應屬無效。本文亦認為不應區分無效主張者為被授權人或第三人，在無效宣告前，被授權人所給付之授權金，並不因專利權無效而由授權人擔負返還之義務，而專利權無效宣告前因實施相關發明所應給付之授權金，被授權人仍應依約給付。相對而言，專利權無效宣告後，專利相關發明之法律保護與市場優勢即不復存在，被授權人在原專利權剩餘之授權期間內，因實施相關發明而應給付之授權金則無須給付。
