Title:	董事說明義務啟動之依據—評最高法院112年度台上字第2800號民事判決

Abstract:	董事於董事會議案有自身利害關係時應依公司法第 206 條第 2 項負說明其利害關係重要內容之義務。但在本項增訂前，董事是否應負說明義務？在本案中司法實務見解分岐。高等法院認為法不溯及既往，董事毋庸負說明義務。但最高法院認為說明義務為忠實義務具體化規定，縱然爭議發生於公司法第 206 條第 2 項增訂前，董事依公司法第 23 條第 1 項忠實義務規範仍應負說明義務。惟此時啟動說明義務標準如何？似並不明確。司法實務向來認為董事違反說明義務時將致使該次董事會決議無效，但本文認為，依忠實義務啟動說明義務並未有明確標準，法律效果不宜太過強烈，似仍可維持董事會決議效力，僅對違反說明義務之董事究責即可。
