| Abstract: | 本研究先從我國電商產業近年智財判決為出發點，梳理產業智財訴訟現況，並以「計畫行為理論」為研究途徑，輔以「紮根理論」質性研究方法，將個案研究法所獲致之分析結果，設計成為訪談問題大綱，目的為經由實證研究，瞭解企業導入台灣智慧財產管理制度（Taiwan Intellectual Property Management Systems，TIPS）之認知與行為，以使本研究可獲致對主管機關及業者之建議。透過深度訪談高階管理者，採用「正、反、合」思辨模式後，本研究認為，董事會成員及最高管理階層（即總經理或執行長）對企業組織內智財管理與導入智財管理制度的價值是否有正面認知，將影響該組織是否重視智財管理及如何導入智財管理制度。
本研究經由「紮根理論」將訪談者逐字稿譯碼後，獲致對電商產業TIPS改善或優化之多項建議，再透過深入探討政策利害關係人對電商產業智財管理制度之觀點，以電商產業做為政策受益者，以產業發展署（原為經濟部工業局）委託之財團法人資訊工業策進會科技法律研究所做為政策制定與執行者，建構雙方對話機制。依據紮根理論分析結果，本研究認為，可先以不具有強制力但具有鼓勵性質之軟法先行，再逐步考量以制定法規之硬法治理來規範電商企業，較能驅動電商業者將智財管理化為內部控制規範或自主導入智財管理制度。
基於上述基礎，本研究針對「上市上櫃公司治理實務守則」提出修改建議，包含一、第37條有關董事會成員應忠實執行業務及盡善良管理人之注意義務，應適度與智財管理績效連結；二、第37條之2有關建立智慧財產管理制度，應視上市上櫃企業之資本額，課以強制符合之義務。本文提出企業可參照以下四個主要方向，一、上市上櫃企業應將智財風險納入治理實務守則與內部控制制度；二、企業應確保董事會與高階經理人具備智財認知與決策能力；三、企業宜設立智財管理委員會或專設部門進行監督；及四、企業可依據指引規劃智財管理制度之導入程序。
This study begins by examining recent intellectual property rulings in Taiwan's e-commerce industry to outline the current state of industry IP litigation. Using the Theory of Planned Behavior as the research approach, supplemented by the Grounded Theory qualitative research method, the analysis results obtained from the case study method are designed into an interview outline. The aim is to understand, through empirical research, the cognition and behavior of enterprises in implementing the Taiwan Intellectual Property Management Systems (TIPS) to provide recommendations to regulatory authorities and industry players.
Through in-depth interviews with senior managers and employing the dialectical method of thesis, antithesis, and synthesis, this study finds that whether board members and top management (i.e., general managers or CEOs) have a positive perception of the value of IP management and the implementation of IP management systems within an organization will affect the organization's emphasis on IP management and how it implements IP management systems.
By coding the interview transcripts using Grounded Theory, this study offers several suggestions for improving or optimizing TIPS in the e-commerce industry. This study further explores the perspectives of policy stakeholders on the IP management system in the e-commerce industry by establishing a dialogue mechanism between the e-commerce industry as the beneficiary of the policy and the Institute for Information Industry Science and Technology Law Institute as the policy formulator and executor. According to the results of Grounded Theory analysis, this study suggests initially using non-binding but encouraging soft laws and then gradually considering hard laws with regulatory force to better drive e-commerce businesses to integrate IP management into internal control regulations or voluntarily adopt IP management systems.
Based on the above foundation, this study proposes amendments to the "Corporate Governance Best-Practice Principles for TWSE/TPEx Listed Companies," including: 1) Article 37, regarding the duty of loyalty and duty of care of board members, should appropriately link to IP management performance; 2) Article 37-2, regarding the establishment of an IP management system, should mandate compliance based on the capital amount of TWSE/TPEx listed companies. The study suggests that enterprises can refer to the following four main directions: 1) TWSE/TPEx listed companies should incorporate IP risk into corporate governance principles and internal control systems; 2) Enterprises should ensure that the board and senior managers have IP awareness and decision-making capabilities; 3) Enterprises should establish an IP management committee or dedicated department for supervision; and 4) Enterprises can follow guidelines to plan the implementation process of the IP management system. |
