    Abstract: 從合作轉競爭兩種路徑,並觀察其反覆轉變關係的動態過程。每個案例有其不同特色及運作機制,例如,競爭與合作多次反覆、第三方角色、無效化專利策略、轉用競爭者IP及能力、槓桿競爭結構、不打不相識、借力使力及化敵為友等等。
    藉由案例的分析及與學理的結合,本研究提出「IPR競合策略與價值轉化模型」,主要研究結論如下:
    一、智財競合的關鍵內涵包括企業所處市場、智財動態能力、智財策略選擇權、關係轉變及價值轉化等五部分。
    智財競合指企業與競爭者及合作者間,於產品市場及技術市場,因IPR活動產生競爭行為,改變組織關係,包括從合作轉競爭,及從競爭轉合作。企業運用智財動態能力及智財策略選擇權,發揮IPR影響力改變賽局,進而能掌握機會,使雙方在技術市場或產品市場進行合作,帶來價值轉化的效益,達成雙贏。
    二、企業所處的「動態環境」會與IP特性,共同驅動IPR競合活動及增加企業關係的動態性,且會促進企業關係變動的循環。
    企業的「動態環境」包括企業關係環境及外部環境,會結合IP特性(營業秘密保護之不確定性、專利專屬性、被第三人舉發專利有效性、技術授權契約定義解釋的模糊性及履約不確定性),使企業關係變得更為動態。加上競爭本質的驅動,使企業在IPR競合過程會呈現「競爭—合作—競合」的動態循環。
    三、企業會向外部第三方取得關鍵IPR及策略經驗,並運用第三方的智財動態能力,以提高本身與競合者對抗之能力。
    當企業缺乏足夠的IPR資源,特別是小企業,可向外部第三方(如律師、專家、科研機構及企業等對象)尋求協助,運用其智財動態能力,增加IPR策略的影響效力。因此,第三方角色會影響IPR競合雙方決策。若第三方有不適宜的情形,企業也需立即調整與更換。
    四、企業在IPR競合中,會透過雙元思維、專利的品質與價值之有效性判斷,並運用專利二元專屬性做為合作媒介,來促進價值轉化。
    競爭者能分析專利品質與價值,及具有雙元思維(如運用對方的專利及IP能力,或讓自己的專利及IP能力為對方所用)及瞭解專利的二元專屬特性(以專利向對方提告,也可用來保護對方的產品),可更靈活地運用IPR策略,而有機會以高品質及高價專利做為建立競合關係的媒介,創造與轉化不同價值。
    五、企業與合作夥伴的營業秘密賽局會驅動IPR競合,企業並會透過智財動態能力來即時偵測營業秘密外洩、蒐證及主張權利,產生多元合作模式。
    企業IPR合作存在兩難情境,企業需揭露重要技術資訊予合作夥伴,以利研發合作,卻難以管控夥伴結束合作後不當使用營業秘密之行為,使合作轉為競爭。企業需要運用智財動態能力,如人脈網絡、員工離職保密制度、資料還原及網路使用紀錄之偵測技術、專利分析及司法蒐證等等方式,找出營業秘密外洩證據。營業秘密案最後的合作方式,包括合作開發、產能支援及入股成為股東。
    六、智財動態能力及智財策略選擇權具有相互配合與支持之關係,企業能用以形塑競合關係,達到策略經濟與強化管理競合關係之效益,並帶來價值轉化效益。
    企業在有限的資源條件下,可運用智財動態能力促進IPR資源的流動,找出對的IPR及IPR策略,調整智財策略選擇權範圍,發揮以小搏大的槓桿效益,以做有效的商業談判,轉變企業關係,也能用以建立、維繫及運作與競合者合作的管理機制、契約與條件。藉此,企業能進一步透過價值轉化(包括重新結構、增加、減少、融合、轉換、轉用及轉型等模式),帶來實際效益及降低潛在價值流失的風險(包括價值破壞、成本支出的增加及價值創造的失效等等)。
    七、企業的IPR競合心態會影響其在競合過程中的IPR策略、競爭者行為及合作關係的建立。
    本研究案例呈現企業在IPR競合過程,企業主於競爭及協商中會出現不同的心態,進而影響IPR訴訟策略、競爭者行為、談判效果及企業關係建立。企業的IPR競合心態包括企業主意志、環境因素(文化及利害關係人(律師、IP法務長及第三方等等))及「雙向思維」等等部分。其中,企業具有「雙向思維」,能同時進行不同邏輯之行為,及以綜觀全局的角度考量自己與競爭者雙方之需求、資源、溝通與關係,提出雙贏方案。
    八、企業在IPR競合的過程中,會透過智財動態能力的建立,來主導與競合者的關係轉變,以獲取比競爭者更大的影響力。
    IPR競合常出現「不打不相識」及IPR資源內外部流動之特色,企業要在IPR競合掌控關係轉變的主導優勢,需以智財動態能力運用IPR資源及策略,以與競爭者談判及交換條件,否則競爭者不會與之合作。企業愈具有高階智財動態能力,愈有影響IPR競合關係的優勢。若企業缺乏轉變關係或抵抗轉變關係的能力,形同於企業關係中處於被動,易遭競爭者擺弄與破壞契約關係,而不利價值獲取。
    本研究主要帶來四項學術上的貢獻,包括:提出智財動態能力的概念,延伸了動態能力於IPR競合領域的應用;IPR競合策略的豐富案例研究,擴充了競合研究有關IPR競合研究之領域;提出智財策略選擇權概念,擴大了實質選擇權於IPR策略之應用範圍;及有關智財動態能力及智財策略選擇權交互影響的發現,豐富了IPR策略的實證及組織疆界定義之理論。本研究最後並提出實務上及未來研究上的建議。
    Since Brandenburger and Nalebuff (1995) proposed coopetition strategy, the study of cooperation between corporations and competitors has received long academic attention. However, there are still limited explanatory perspectives on how and why inter-corporation competition, cooperation, and coopetition transform in dynamic and uncertain situations.
    On the other hand, there has been little research on how companies use intellectual property rights (IPR) to manage, influence and control their relationships with competitors, resulting in a lack of insights that are both academically and practically inspiring. Several IPR strategies have been proposed, such as proprietary, defensive, and leveraging strategies (Somaya, 2012), which have been developed for use in a variety of competitive contexts. Recently, Trigeorgis, Baldi, and Makadok (2022), based on the concept of “real option”, advocate that corporations can change the competitive, cooperative, and competing strategies of patent layout according to the situation in order to obtain innovation performance. However, they do not have sufficient explanations and illustrations of the practical application of IPR strategies and the nature of IP, which makes their theoretical perspective need to be further tested and revised.
    Furthermore, while past research on dynamic capabilities has focused on how corporations integrate and coordinate internal and external resources in response to environmental changes (Teece, 2007; Teece, Pisano, & Shuen, 1997), more recent scholars have also explored how dynamic capabilities affect coopetitive relationships (Teece, 2019; Zulu-Chisanga, Oghazi Hultman, Leonidou, & Boso, 2023). However, there is still a lack of research on how corporations utilize dynamic capabilities to influence the change process of corporations in competition, cooperation, and coopetition.
    By synthesizing the above three academic lines, this study can find an important research gap: how corporations can utilize intellectual property rights to influence the changes between competitive, cooperative and coopetitive relationships, and bring different values. To this end, the main objective of this study is to explore the complexity, dynamics and value transformation of the IPR coopetition process in depth by adopting a qualitative research methodology. Focusing on patent issue and including cases involving both patents and trade secrets, this study analyzes 10 cases of IPR coopetition, including biotechnology, pharmaceuticals, semiconductors, gaming, robotics, and optical lenses, through interviews with key participants and collect secondary data collection, to explore why and how companies use IPR coopetition strategies to create win-win situations and value creation. It includes analyzing the two paths of corporations from competition to cooperation and from cooperation to competition, and observing the dynamic process of their repeated relationship changes. Each case has its own characteristics and operating mechanisms, such as repeated repetitions of competition and cooperation, the role of third parties, invalidating patent strategies, diversion of competitors' IPR and capabilities, leveraged competition structures, no fight, no acquaintance, leveraging competitor’s strengths into power, and turning enemies into friends, and so on.
    By analyzing the cases and combining with the theories, this study proposes the “IPR Coopetition Strategy and Value Transformation Model”, and the main conclusions of the study are as follows:
    I. The connotation of IPR coopetition consists of five parts: the market in which the corporation is located, dynamic capability of intellectual property rights (IPDC), strategy options of intellectual property rights (IPSO), relationship changes and value transformation.
    IPR coopetition refers to the competitive behavior between corporations and their competitors and partners in the product market and technology market due to IPR activities, which changes the organizational relationship, including the change from cooperation to competition, and the change from competition to cooperation. Corporations utilize their IPDC and IPSO to change the game by leveraging their IPR influence, and then grasp the opportunities to cooperate in the technology market or product market, bringing value transformation benefits and achieving a win-win situation.

    II. The “dynamic environment” in which a corporation operates will, together with IP characteristics, drive IPR coopetition activities and increase the dynamics of corporate relationships, as well as contribute to the cycle of change in corporate relationships.
    The “dynamic environment” of corporations includes the environment of corporate relationship and external environment, which will combine with the IP characteristics (e.g., uncertainty of trade secret protection, patent specificity, validity of patents invoked by third parties, ambiguity of the interpretation of the definition of technology licensing contract, and uncertainty of performance) to make the corporate relationship become more dynamic. In addition, the competitive nature of corporations will lead to a dynamic cycle of “competition-cooperation-competition” in the process of IPR coopetition.

    III. Corporations can obtain key IPR and strategy experience from external third parties, and utilize the IPDC of third parties to enhance their ability to compete with competitors.
    When corporations lack sufficient IPR resources, especially small corporations, they can seek assistance from external third parties (e.g., lawyers, experts, research organizations, and targets such as corporations) to utilize their IPDC to increase the impact effectiveness of their IPR strategies. Therefore, the role of the third party can influence the decision-making of both IPR coopetitors. If the third party is unsuitable, the corporation needs to adjust and replace it immediately.

    IV. In IPR coopetition, corporations will utilize dualistic thinking, judge the quality and value of patents, and utilize the ambidextrous appropriation of patents as a medium of cooperation to promote the transfer of value.
    Competitors who are able to analyze the quality and value of patents, and have dualistic mindset (e.g., using the other party's patents and IP capabilities, or letting their own patents and IP capabilities to be used by the other party) and understand the ambidextrous appropriation characteristics of patents (using patents to file lawsuits against the other party, or using patents to protect the other party's products) can use IPR strategies more flexibly and have the opportunity to use high-quality and high-priced patents as a medium to establish a coopetitive relationship, creating and transforming different values.

    V. The trade secret competition game between corporations and partners will drive the IPR coopetition, and corporations will realize multiple cooperation modes through the ability of IPDC to detect trade secret leakage, collect evidence and claim rights in real time.
    There is a dilemma in IPR cooperation. Corporations need to disclose important technical information to partners to facilitate R&D cooperation, but it is difficult to control the misuse of trade secrets by partners after the end of cooperation, which will turn cooperation into competition. Corporations need to utilize IPDC, such as network of contacts, confidentiality system for employee termination, data recovery and detection of network usage records, patent analysis and judicial evidence collection to find out the evidence of trade secret leakage. The final cooperation in trade secret cases include joint development, production support, and becoming a shareholder.

    VI. IPDC and IPSO have a mutually complementary and supportive relationship, which can be used by corporations to shape coopetitive relationships, achieve strategic economic and strengthen the management of coopetitive relationship benefits, and bring value transformation benefits.
    With limited resources, a corporation can utilize its IPDC to facilitate the flow of IPR resources, identify the right IPR and IPR strategies, adjust the range of IPSO, and leverage the power, in order to conduct effective business negotiations, transform corporate relationships, and also establish, maintain and operate management mechanisms, contracts and conditions for cooperation with competitors. By doing so, corporations can further transform value (including restructuring, adding, subtracting, integrating, converting, repurposing, and transforming) to deliver substantial benefits and mitigate the risk of potential value loss (including value destruction, increased costs, and failures in value creation).

    VII. A corporation's IPR coopetition mindset affects its IPR strategy, competitor behavior, and cooperative relationship building during the competition process.
    This case study demonstrates that in the IPR coopetition process, entrepreneurs have different mindsets in competition and negotiation, which in turn affect IPR litigation strategies, competitor behavior, negotiation effects, and corporate relationship building. A corporation's IPR coopetition mindset includes the entrepreneur's will, environmental factors (culture and stakeholders (lawyers, IP attorneys, third parties, etc.)), and “two-way thinking”. In particular, a corporation with “two-way thinking” is able to act with different logics at the same time, and to consider the needs, resources, communication and relationship between itself and its competitors from a holistic perspective, in order to come up with a win-win solution.

    VIII. In the process of IPR coopetition, corporations will lead the change of relationship with competitors through the establishment of IPDC in order to gain more influence than competitors.
    IPR coopetition is often characterized by “no fight, no acquaintance” and the internal and external flow of IPR resources. In order to control the dominant advantage in IPR coopetition, corporations need to utilize IPR resources and strategies with IPDC to negotiate and exchange terms with competitors, otherwise competitors will not cooperate with them. The more advanced IPDC a corporation has, the more advantage it has in influencing IPR coopetitive relationships. If a corporation lacks the ability to change relationships or resist changing relationships, it will be passive in its relationships and vulnerable to competitors' manipulation and disruption of contractual relationships, which is not conducive to value capture.
    This study brings four academic contributions, including the introduction of the concept of IPDC, which extends the application of dynamic capabilities to IPR coopetition; the rich case studies of IPR coopetition strategies, which extends the field of coopetition research in relation to IPR coopetition research; the proposed concept of IPSO, which extends the scope of the application of real options in IPR strategies; and the discovery of the interaction between IPSO and IPSO, which enriches the empirical evidence of IPR strategies and the theory of organizational boundary definition. Finally, the study concludes with practical and future research recommendations.
