Title:	論代理權之濫用於我國法之繼受

Abstract:	代理權濫用，指「代理人於代理權範圍內為圖利自身或他人而為損害本人利益之代理行為」，我國多數學說受到德國法影響，認為代理權濫用與無權代理為不同概念，少數學說則認為代理權濫用於我國並無作為獨立概念存在之必要。考察日本法，則可看出彼邦從債權法修法前實務類推適用「心中保留」制度，至嗣後於民法中明文化，漸將代理權濫用之內涵和範圍具體化之發展過程。反觀我國實務，諸多判決並未能明辨代理權濫用係「有權代理」或「表見代理」，往往游移於二者之間。本文支持繼受代理權濫用法理，區別本人與代理人之間的「授權範圍」，以及相對人的「保護必要性」，前者以客觀方式認定，即以當事人明示之授權範圍為基準，後者則應參酌交易習慣、誠信原則等因素個案判斷。最後，本文認為立法明文化之前，得類推適用民法第 107 條「代理權限制」之規定，以定代理權濫用之法律效果，方能兼顧本人、代理人和相對人之三方利益。
