Abstract:	公開發行公司與投資人直接交易時，投資人普遍欠缺充足資訊判斷有價證券之發行價格是否合理，此際，發行公司與投資人即處於資訊不對等狀態，而發行公司即可能藉其資訊優勢詐騙投資人。為此，證券交易法採取「公開原則」，要求發行公司於募集與發行有價證券時，應公開重要資訊供投資人參考。依證券交易法第 22 條第 1 項，有價證券之募集及發行原則上非向主管機關申報生效後，不得為之，此即為「申報生效制」。具體而言，僅要具備證券主管機關所要求的文件與條件（如公開說明書），不需待主管機關核准，該申報即能於一定期間後生效，發行公司也就能合法募集與發行有價證券。
