Title:	論監察人、獨立董事之股東會召集權─自評析臺灣高等法院臺中分院108年度上字第448號民事判決出發

Abstract:	依公司法第220條（下稱「本條」），除董事會不為召集或不能召集股東會外，監察人亦得為公司利益，於必要時召集股東會，另公開發行股票公司有設置審計委員會時，獨立董事亦得準用本條規定召集股東會。本條目的係為賦予監察人獨立之股東會召集權，俾便其積極行使監察權，但如何認定監察人具有本條情事，司法實務尚未建立明確、統一之準則。監察人召集股東會應非常態，理應謹慎為之，惟本條文義相當概括，且近期常運用於經營權爭奪情節，恐有恣意之弊。本文擬藉評析個案判決出發說明本條衍生之爭議，再就國內實務、學說意見進行梳理與分析，嘗試探求適用本條之標準，最後對本條使用現狀改善提出幾個思考觀點做為結論。
