    Abstract: 富邦金控之每股獲利連續12年為台灣金控業第一,市值穩居金控業第二,主要業務包含銀行、壽險、產險、證券,海外布局涵蓋中國、香港、韓國、東協等地,旗下金融事業版圖多元、完整,且經營表現良好。2021年3月,富邦金控公開收購日盛金控達標,成為國內首起「金金併」,合併後,預計將進一步強化富邦金控在證券與銀行的業務規模以及成長動能。
      本研究旨在探討富邦金控的併購策略,並以「次級資料分析法」進行研究。首先,回顧金融控股公司產業的發展脈絡,檢視在不同時空背景下,金控產業所處的外在環境,並以此為基礎,將富邦金控的成長歷程區分為「內部成長」、「國內併購」、「海外併購」、「多元佈局」四個階段,利用安索夫矩陣的架構,分析富邦金控在不同階段所採取的併購策略為何,再將各起併購交易歸納至富邦金控的事業版圖當中,藉此檢視集團如何透過外部併購,逐步完善旗下事業在海內、外的多元布局。接下來,本研究針對富邦金控併購日盛金控之個案,利用環境前提、條件前提、目標以及策略定位四個構面,探討富邦金控的併購動機,並以前述的併購策略分析架構,歸納其對富邦金控的影響。最後,本研究根據研究發現、結論,結合金控產業所面臨的外部挑戰,給予富邦金控未來在併購策略上的建議。
    Fubon Financial Holding’s EPS has been taking over the first place in Taiwan’s financial holdings industry for 12 consecutive years, with market value consistently ranked second in the financial holdings industry. Its main business includes banking, life insurance, property insurance, and securities. Its overseas business covers China, Hong Kong, South Korea and ASEAN. Business under Fubon Financial Holding is diversified and complete, and shows great overall financial performance. In March 2021, Fubon Financial Holding successfully acquired JIH SUN Financial Holding, showcasing the first case of M&A of two financial holdings in Taiwan. After the merger, it is expected to further strengthen business scale and growth momentum in securities and banking.
    The aim of this research is to study Fubon’s M&A strategy, adopting methodology of “secondary data analysis”. Firstly, the research would review the history of financial holding industry, then examine the external environment where the financial holding companies are located under different specific backgrounds. Based on the research, Fubon’s growth process can be divided into “internal growth”, “domestic M&A”, “overseas M&A” and “diversified strategic planning”, and then the research applies Ansoff matrix to analyze the M&A strategies in different stages. Next, the research summarizes various M&As with the structure of business domain to understand how Fubon entered individual fields, and made its business complete. Furthermore, this research focuses on the M&A of JIH SUN, applying four dimensions as follows: external environment, internal conditions, goals, and strategic positioning, seeking to analyze Fubon’s motives and purposes for acquiring JIH SUN. Finally, based on the findings and conclusions of the research, together with the external challenges faced by the financial holding industry, this research aims to provide Fubon Financial Holding recommendations on future M&A strategies.
